Terms and Conditions

This Terms of Service Agreement ("Agreement") is made between Techrepo ("we", "us") and any person (collectively "you", "your") who completes the registration process to open and maintain an Account as a Job Seeker, Employer, or Recruiter using the Techrepo website (including techrepo.co.za) and related Service. The Service is offered in South Africa and these terms are governed by South African law.
BY CLICKING THE ACCEPTANCE BUTTON OR ACCESSING, USING, OR INSTALLING ANY PART OF THE SERVICE, YOU EXPRESSLY AGREE TO AND CONSENT TO BE BOUND BY ALL OF THE TERMS OF THIS AGREEMENT. IF YOU DO NOT AGREE TO ALL OF THE TERMS OF THIS AGREEMENT, YOU SHOULD NOT ACCESS OR USE THE SERVICE.
1. Introduction and Acceptance
This Agreement governs your access to and use of the Service. By creating an Account, clicking to accept, or otherwise accessing or using the Service, you agree to this Agreement. If you use the Service on behalf of an organisation, you represent that you have authority to bind that organisation, and "you" includes that organisation.
2. Definitions
In this Agreement:
- (a)"Account" means a registered user account on the Service.
- (b)"Candidate Data" means information relating to a candidate that is uploaded, created, imported, or otherwise made available through the Service, including CVs, contact details, skills, work history, recruitment notes, and talent-pool records.
- (c)"Employer" means a person or organisation using the Service to advertise employment opportunities or recruit candidates.
- (d)"Job Seeker" means a person using the Service to find jobs or apply for employment opportunities.
- (e)"Recruiter" means a person using the Service to source, manage, or recruit candidates on behalf of themselves or an organisation.
- (f)"Service" means the Techrepo platform and related functionality, including the website at techrepo.co.za and features made available through it from time to time.
3. The Techrepo Service
a. Description:
The Service is proprietary to Techrepo and is protected by intellectual property laws and international intellectual property treaties. Your access to the Service is licensed and not sold. Techrepo agrees to provide you with non-exclusive access to or use of the Service, subject to the terms and limitations set forth in this Agreement.
Techrepo provides a technology hiring platform that may include a job marketplace, job posting and application functionality, applicant tracking tools, talent and candidate management, talent pool functionality, recruitment analytics and reporting, and related hiring services. Features available to you may depend on your Account type and, where applicable, your organisation's subscription plan.
b. Nature of the Service:
Techrepo is not an employer, recruitment agency, or staffing agency. Techrepo provides technology and marketplace services that may connect Job Seekers with Employers and Recruiters. Techrepo is not a party to any employment, engagement, or hiring relationship between a Job Seeker and an Employer.
c. Analytics and reporting:
Where recruitment analytics or reporting features are available, they depend on information available in the Service. Results may be affected by incomplete or inaccurate data. Analytics are informational tools and do not guarantee hiring outcomes.
4. Accounts and Registration
You represent and warrant to Techrepo that:
- (a)You are 18 or older (or the age of majority in South Africa) and have the power and authority to enter into and perform your obligations under this Agreement.
- (b)You will comply with all terms and conditions of this Agreement, including the Acceptable Use Policy set forth in Section 9.
- (c)You have provided accurate and complete registration information, including your legal surname, legal given name, and email address, and any additional details required for your Account type (for example, postal code if you are a Job Seeker, or company name, company address, email address, and phone number if you are an Employer or Recruiter).
d. Account security:
You are responsible for maintaining the confidentiality of your account credentials and for activity carried out through your account. You must notify Techrepo promptly if you become aware of or reasonably suspect unauthorised access to your account.
5. Job Seeker Responsibilities
If you use the Service as a Job Seeker, you agree that:
- (a)You will provide accurate profile, application, and related information, and will keep that information reasonably up to date.
- (b)You will use the Service only for legitimate job-seeking purposes.
- (c)You will not misrepresent your identity, qualifications, experience, or eligibility for employment.
6. Employer and Recruiter Responsibilities
If you use the Service as an Employer or Recruiter, you agree that:
- (a)You have authority to use the Service on behalf of your organisation where applicable.
- (b)Job information you publish is accurate, and you have authority to post the employment opportunity.
- (c)You will use candidate information, including Candidate Data, only for legitimate recruitment and hiring-related purposes.
- (d)You will not misuse candidate information, including by using it for unrelated marketing, selling it, or sharing it except as reasonably necessary for recruitment and hiring.
- (e)Organisation administrators with billing access are responsible for managing subscription and payment settings for that organisation.
7. Candidate Data and Talent CRM
a. User responsibility:
Where an Employer or Recruiter uploads, imports, creates, or otherwise provides Candidate Data to Techrepo, they are responsible for ensuring that they have the necessary authority, consent, lawful basis, or other legal justification, where required by applicable law, to collect, use, and provide Candidate Data through the Service.
b. Permitted use:
Candidate Data may be used only for legitimate recruitment and hiring-related purposes. You may not use Candidate Data for any other purpose.
c. Techrepo's role:
Techrepo may process Candidate Data as reasonably necessary to operate and provide the Service, subject to the Privacy Policy and applicable law.
8. Job Listings and Marketplace Rules
Employers and Recruiters must not:
- (a)Post fake, fraudulent, or non-existent job opportunities.
- (b)Publish misleading job descriptions or material job terms.
- (c)Impersonate an employer or another organisation.
- (d)Post jobs without authority to do so.
- (e)Use the Service to operate recruitment scams.
- (f)Request unlawful or inappropriate payments from Job Seekers in connection with a job opportunity.
- (g)Use the Service primarily to harvest candidate information rather than to recruit for genuine employment opportunities.
Techrepo may remove, restrict, or refuse listings that reasonably appear fraudulent, misleading, unlawful, harmful, or in violation of this Agreement. Techrepo does not undertake to verify every job listing.
9. Acceptable Use
You agree not to engage in any unacceptable use of the Service, including but not limited to:
- (a)Disseminating or transmitting unsolicited messages, chain letters, or unsolicited commercial email.
- (b)Disseminating or transmitting material that is abusive, obscene, pornographic, defamatory, harassing, grossly offensive, vulgar, threatening, or malicious.
- (c)Disseminating or transmitting files, graphics, software, or other material that actually or potentially infringes on the intellectual property rights of any person.
- (d)Creating a false identity or otherwise attempting to mislead any person as to the identity or origin of any communication.
- (e)Exporting, re-exporting, or permitting downloading of any message or content in violation of any applicable laws, including South African law.
- (f)Attempting to gain unauthorized access to accounts, services, or networks.
- (g)Disseminating or transmitting viruses, trojan horses, or any other malicious code.
- (h)Except where expressly authorised by Techrepo, using automated systems, bots, crawlers, scrapers, or similar technologies to access, extract, copy, or collect information from the Service, including bulk collection or harvesting of candidate information. This restriction does not apply to APIs, webhooks, or other integrations that Techrepo expressly provides or authorises.
- (i)Using the Service in a manner that violates Section 8, including fraudulent job postings or harvesting of candidate information.
- (j)Engaging in any other activity deemed by Techrepo to be in conflict with the intent of this Agreement.
10. Intellectual Property and User Content
a. Techrepo intellectual property:
The Service, including software, platform technology, branding, website design, and proprietary functionality, is owned by or licensed to Techrepo. Except for the limited licence to access and use the Service under this Agreement, no rights in Techrepo intellectual property are transferred to you.
b. User-provided content:
You retain any rights you have in content you submit to the Service, including job listings, company information, CVs, candidate records, and recruitment notes. Techrepo does not claim ownership of that content.
c. Licence to operate the Service:
You grant Techrepo a non-exclusive licence to host, process, display, transmit, and secure your submitted content solely as reasonably necessary to operate and provide the Service.
11. Privacy and Personal Information
Techrepo respects your privacy. Personal information is processed in accordance with the Protection of Personal Information Act 4 of 2013 (POPIA) and the Techrepo Privacy Policy. The Privacy Policy applies to processing of personal information through the Service, including Job Seeker information, Candidate Data, Employer and Recruiter information, and information processed through applicant tracking and talent and candidate management features. Personal information may be disclosed to Employers, Recruiters, and Job Seekers for recruitment-related purposes. You also have the right to lodge a complaint with the Information Regulator (South Africa). Full details are in the Privacy Policy.
12. Fees, Payments and Subscriptions
a. Who pays:
Paid subscription plans, where offered, apply to Employers and Recruiters at organisation level. Job Seekers are not currently charged for access to the Service. A limited free plan may be available to Employers and Recruiters, with paid plans providing additional features.
b. Fees and currency:
Fees are quoted in South African Rand (ZAR). Applicable fees, plan features, and billing options are as presented at the time of purchase.
c. Payment methods:
Payments may be processed via third-party payment processors (including PayFast). You must provide accurate billing information and keep it reasonably up to date. Where payment is made by card or electronic funds transfer through a payment processor, you authorise the applicable charges for the selected plan and billing period.
d. Billing periods:
Paid plans may be available on a monthly or annual basis. Monthly paid access lasts for a 30-day period. Annual paid access is billed upfront and lasts for a 365-day period. Paid access lasts for the selected billing period following successful payment.
e. Continuation of paid access:
Paid access does not automatically continue after the end of a billing period. Continued paid access after a period ends requires a new payment or checkout for a further period.
f. Cancellation:
Organisation administrators with billing access may cancel a paid subscription through the recruiter dashboard. After cancellation, paid access continues until the end of the current paid period. Cancelling a subscription does not by itself entitle you to a refund.
g. Invoiced arrangements:
Where Techrepo invoices an organisation under a separately agreed billing arrangement, payment is due within 30 days of the invoice date unless otherwise agreed in writing.
h. Refunds:
Except where required by applicable law or expressly stated otherwise, fees paid for the Service are non-refundable. This is subject to your statutory rights under the Consumer Protection Act 68 of 2008 (CPA) where applicable.
13. Service Availability
You acknowledge that from time to time the Service may be inaccessible or inoperable for any reason, including, without limitation: (i) equipment malfunctions; (ii) periodic maintenance procedures or repairs which Techrepo may undertake from time to time; or (iii) causes beyond the control of Techrepo or which are not reasonably foreseeable by Techrepo.
14. Suspension and Termination
This Agreement is effective until terminated. You may terminate your Account at any time. Except as provided in Section 12, fees already paid are non-refundable.
a. Suspension:
Techrepo may temporarily restrict or suspend access to the Service, or to particular features or listings, where reasonably necessary.
b. Termination:
Techrepo may permanently close an Account or end access to the Service. Circumstances in which Techrepo may suspend or terminate include, without limitation: violation of this Agreement; fraudulent activity; unlawful activity; security risks; non-payment where applicable; and protection of the Service or other users.
c. Effect:
Techrepo may take these steps without prior notice where reasonably necessary, including in cases of fraud, unlawful activity, or security risk. Sections that by their nature should survive termination will continue to apply, as set out in Section 19.
15. No Employment or Hiring Guarantee
Techrepo provides technology and marketplace services that may connect Job Seekers with Employers and Recruiters. Techrepo does not guarantee interviews, job offers, employment, candidate placement, or that an Employer or Recruiter will find a suitable candidate. Techrepo is not a party to the employment relationship between a Job Seeker and an Employer, and does not employ Job Seekers or provide staffing services.
16. Disclaimer of Warranties
The Service is provided "as is" without warranties of any kind, to the extent permitted by applicable law. Access to the Service is not guaranteed to be uninterrupted or error-free.
17. Limitation of Liability
To the extent permitted by applicable law, Techrepo is not liable for:
- (a)Indirect, incidental, consequential, special, or punitive damages related to this Agreement or the Service.
- (b)Lost profits or lost business opportunities.
- (c)Losses arising from the acts or omissions of third parties, including other users of the Service.
- (d)Employment or hiring decisions made by Job Seekers, Employers, or Recruiters, including the outcome of any application, interview, offer, or employment relationship.
- (e)User-generated content, including job listings and Candidate Data.
- (f)Service interruptions, inaccessibility, or errors, including those described in Section 13.
Nothing in this Agreement excludes or limits liability that cannot be excluded or limited under applicable law. Where permitted, your sole remedy is to discontinue using the Service.
18. Indemnification
To the extent permitted by applicable law, you agree to indemnify and hold Techrepo harmless from claims arising from:
- (a)Your violation of this Agreement.
- (b)Your unlawful use of the Service.
- (c)Fraudulent, misleading, or unauthorised job postings.
- (d)Infringement of another person's intellectual property rights.
- (e)Misuse of Candidate Data.
- (f)Uploading, importing, or providing information without the necessary authority, consent, lawful basis, or other legal justification required by applicable law.
19. Governing Law and General Provisions
a. Governing Law and Jurisdiction:
This Agreement is governed by the laws of the Republic of South Africa. Any disputes arising from this Agreement are subject to the exclusive jurisdiction of the courts of the Republic of South Africa.
b. Consumer Protection Act:
Nothing in these terms limits any rights you may have under the Consumer Protection Act 68 of 2008 (CPA) where you qualify as a consumer. These terms are read subject to the CPA where it applies.
c. Electronic Communications:
Electronic agreements and records are recognised under South African law, including the Electronic Communications and Transactions Act 25 of 2002 (ECT Act), where applicable.
d. Amendments:
Techrepo may modify this Agreement at any time by posting updated terms. Continued use of the Service constitutes acceptance of any modifications.
e. Severability:
If any provision is deemed invalid, the remaining provisions shall remain in full effect.
f. Survival:
Sections 5, 6, 7, 9, 10, 11, 15, 16, 17, 18, and 19 shall survive termination of this Agreement.
